Terms and Conditions

This Terms and Condition is agreement between User (as defined below) and PT Teknologi Lintas Negeri Abadi (“Alphalitical” or “We”) and applies for all Alphalitical Services (as defined below). The User shall read, agree, and accept all of these Terms and Conditions, including those expressly set out herein and those that are included by reference, prior the User uses the Alphalitical Services. By using the Alphalitical Services as mentioned in these Terms and Conditions, hence the User will be deemed has agreed with the following Terms and Conditions and therefore agree to comply and abide to the whole provisions as stipulated below in good faith. The User agrees and understand that these Terms and Conditions is an integral part of Privacy Policy and therefore, by abiding to these Terms and Conditions, the User will also be subject to the Privacy Policy.

Alphalitical may change these Terms and Conditions and Privacy Policy at anytime by displaying the  new version at Alphalitical’s website and/ or if necessary, will be notified in written to the User. The newest version will be effective as soon as we display it in Alphalitical’s website or upon the written notice is conducted, whichever occur first. Therefore, it is highly advisable that the User should visit Alphalitical website periodically.

The User is fully responsible for accepting and complying on every prevailing law, rules and regulation in User’s jurisidiction, including any prevailing laws and regulations with respect to the use of Alphalitical Services.

Definition and Abbreviation

Account

“Account” means the account that the User uses to use and/or access the Services. Account creation and/or verification may use Personal Data;

Dashboard

“Dashboard” is a platform provided by Alphalitical on the website and/or application that contains including but not limited to information on projects that are being and/or ever been carried out, trend components, and may contain surveys provided by the User and/or Alphalitical.

Personal Data

“Personal Data” is any data and/or information about the User provided by the User and/or certain parties that are confidential and can be used to identify the User. However, Personal Data does not include any data and/or information that has been known and/or used widely/publicly;

User Data

“User Data” is User’s data that is collected, provided, processed, and/or stored based on the Services in accordance with the characteristics and activities of the User;

Services

"Services" is any assistance and/or service, whether charged or free, provided by Alphalitical to the User that can be used by the User to continue and/or run the Services process which is desired by the User, including but not limited to text, content, photos, videos, audio, graphics, designs, goods, information, and directories provided by Alphalitical.

User

“User” is any party who uses and/or accesses the Services provided by Alphalitical, both unpaid and paid features;

Profile

“Profile” is a collection of information and/or data, including Personal Data, which is used to identify a User;

Project

“Project” is a form of data, information, and Profile data collected by Alphalitical from platforms approved by Alphalitical and online media; and

Respondents

“Respondents” are participants who take part in survey activities conducted by the User through the Services.

Scope of Services

  1. The User agrees that the right to access and/or visit the Alphalitical’s website is to view the content provided therein and/or request (from the User) for the provision of Services by Alphalitical.

  2. In the event of providing Services provided by Alphalitical either through the Alphalitical’s website or the Dashboard, the User in this case agrees to follow the entire process of creating an Account and accessing the Dashboard.

Membership

  1. In the event that the User creates an Account, the User is required to complete every process as stipulated therein, including but not limited to the registration process, the process of providing any data, information, and/or Personal Data requested or required by Alphalitical.

  2. The User guarantees that the data, information, and/or Personal Data provided to Alphalitical is valid, legal, up-to-date, and has received approval from the required parties. The User is responsible for any data, information, and/or Personal Data provided, and hereby guarantees that the User does not obtain such data from any actions that are violating the provision of prevailing laws and regulations.

  3. The User may also be asked to create a security code in the form of a password or other form, as required in creating of User Account.

  4. The User is fully responsible for every activity that occurs in the account he/she creates. The User will immediately contact Alphalitical in the event that the User senses or believes that there is an authorized access to the Account, which is not conducted by the User.

Services

  1. In the event that the User already has an Account and has been legally registered, the User has the right to access the Services, and be able to view the information on the Project that has been created in the Dashboard.

    1. The User can make comparisons of the components that are already available and/or created in the Dashboard, including but not limited to information related to trends and Project summaries that have been previously available therein.

      1. The User can create or initiate a survey that is available in the Dashboard, and also make modifications, changes, view and/or share a link to the current survey with potential Respondents.

        1. The User can also sort the data and information available in the Dashboard according to the User's needs.

          1. Alphalitical hereby reserves the right to limit, block, inhibit, delete and/or terminate the Services and take necessary legal steps if the User is indicated to have violated these Terms and Conditions or other applicable laws, including suspending any existing or future Projects. Suspension of this Services includes suspending, disabling and/or terminating access to the Account which can be done permanently or temporarily at any time with notification to the User.

            1. The User understands that aside from what is stipulated in point 5 of this article, the Suspension of Services may be caused by the following reasons:

              1. inspection, repair, maintenance or upgrade of Alphalitical systems;
              2. the existence of certain reasons in the form of protecting the rights and/or interests of the pertinent parties;
              3. there is a request from the relevant regulator and/or authority;
              4. the business activities carried out by the User, either partially or entirely, are activities and/or products that violate the law according to Alphalitical's assessment;
              5. any fraud or violation of the law committed by the User; or
              6. other reasons determined by Alphalitical.

            2. Should there is a sudden interruption to the Services due to a failure of system, network, internet connection or other reason, Alphalitical will notify the User in writing of this interruption and will also provide further information when the interruption has been resolved.

              1. To the extent possible based on applicable laws and regulations, the User agrees to hold harmless Alphalitical from all claims arising in connection with viruses, damage, interference, or other forms of system disruption, including unauthorized access by unauthorized third parties. In this case, Alphalitical will thrive the maximum effort to maintain the Services and therefore the User is obliged to notify Alphalitical immediately if the User experiences a system problem thus Alphalitical will resolve such disturbance as soon as practicable.

                Cooperation With Third Party

                1. In connection with the provision of Services by Alphalitical, we may have a cooperation relationship with third parties who are our partners. In this regard, the User agrees that it is possible for us to share User’s Data in the case of such cooperation, which is used for the purpose of providing the Services, including but not limited to storing, segmenting and analyzing User Data in order to be able to process and forward User requests (as relevant).

                2. The User is requested to read carefully and agree to any available instructions, to be able to receive further information, including but not limited to accepting offers and continuing the Services contained on the Dashboard.

                Servicses Fees

                1. Alphalitical may and has the right to charge fees in order to provide Services on our website, including but not limited to the choice of Projects on the Dashboard and accessing content on the Alphalitical website. Information regarding the amount of fees that we charge will be provided through the Alphalitical website and/or other media that we determine from time to time.

                2. In the event the User agrees to the fees of selected Project, the User hereby agrees to make payments and fulfill the obligations to Alphalitical and/or to a third-party payment system provider that we appoint (if any). We and/or the third-party payment system provider that we designate has the right to perform and/or provide various ways thus the User can fulfill his payment obligations.

                Confidentiality

                1. Each party hereby agrees to strictly keep the confidential information of the other party and will take appropriate precautions to protect such confidential information and not to leak or disclose any information obtained by it to any third parties without the written consent of the owner of such confidential information.

                2. Subject to the provisions in the Privacy Policy, each party will not disclose the personal data of each party without the written consent of the owner of such personal data, unless it is a necessity based on the obligations of these Terms and Conditions or as required by law, regulations, and/or court order or decision, in which the party required to disclose personal data will thrive its best to inform the other party within a reasonable time.

                Intellectual Property Rights

                1. Any and all Alphalitical Services and their support systems, including but not limited to: (a) logos, photos, images, names, brands, words, letters, numbers, writings, and color arrangements contained in the Alphalitical’s website; (b) the layout, design and interface contained in or displayed on the Alphalitical website media; and (c) the combination of the elements referred to in letters (a) and (b), are Alphalitical's Intellectual Property Rights.

                  1. User is not permitted from time to time to:

                    1. Transfer, transmit, distribute and/or commercially exploit or make available to third parties the Intellectual Property Rights owned by Alphalitical;
                    2. adapt, translate, create derivative works of, copy, modify, transfer, publicly display, reproduce, transmit, transfer, broadcast, decompile or disassemble any part of or otherwise exploit the Alphalitical’s website (including the support system and services therein), except as permitted by Alphalitical in writing and by the authorized person of Alphalitical;
                    3. publish or reproduce in any way material that is protected by Intellectual Property Rights on other information we have without obtaining prior approval from Alphalitical or the license owner/holder who gives such licenses or rights to Alphalitical;
                    4. delete any Intellectual Property Rights contained in the Alphalitical’s website; and
                    5. reengineer the Alphalitical’s website and/or its support systems to (a) build a competing product or service, (b) build a product using similar ideas, features, functionality or graphics, or (c) copy an idea, feature, function or graphic.

                  Force Majeure

                  1. User is expected to understand and apprehend in the event that Alphalitical is unable to carry out, continue or extend the Services or orders or instructions from the User, either partially or entirely, due to events or things beyond our control or ability including but not limited to on:

                    1. components or systems that can harm and interfere Alphalitical's website, Services and/or User Accounts;
                    2. any computer virus intrusion;
                    3. unavailability of services and/or services provided by third parties who cooperate with us; and/or
                    4. non-functioning equipment, systems or transmissions, electricity disturbances, telecommunication disturbances, government policies, banking and/or financial system failures, natural disasters, riots, and other events or circumstances beyond the control or ability of Alphalitical.

                  2. The User hereby agrees that Alphalitical will be released and hold harmless from all claims, in the event that Alphalitical is unable to carry out the User's instructions, either partially or entirely due to the events or causes as stipulated in this section.

                    Governing Law And Dispute Settlement

                    1. These Terms and Conditions shall be governed and construed based on the laws of the Republic of Indonesia.

                      1. In the event that there is a dispute or conflict resulting from or related to matters regulated in these Terms and Conditions, as well as in connection with it, including the occurrence of one or more violation of the provision herein, it will be resolved amicably between the parties within a period of 30 (thirty) calendar days.

                        1. If the dispute or conflict referred to in number (2) above cannot be resolved amicably, it will be resolved and subject to the exclusive jurisdiction of the South Jakarta District Court.

                          2. Alphalitical will strive to follow up on each receipt of User’s complaints in accordance with applicable policy and regulations.

                          Statement

                          1. The User hereby represents and warrants that the User is at least 18 (eighteen) years old or married and is not under guardianship or custody, and the User has the legal capacity and has the right to bind himself to these Terms and Conditions.

                          2. The User hereby represents and warrants that the User will use the Services in accordance with the applicable laws and regulations, including in carrying out any business activities related to the use of the Alphalitical’s Services.

                          3. The User understands and agrees that all risks arising from the provision of the Services, cooperation with third parties, and payment of the Services fee are entirely the responsibility of the User and the User hereby agrees to release Alphalitical from any and/or any claims for any damage, interference system, or other forms caused by unauthorized access from other parties.

                          Amendment

                          1. Alphalitical has the right to, from time to time, change, add, and/or modify all or part of the provision of these Terms and Conditions and Privacy Policy by give announcement to the User, including through the Alphalitical website.

                          2. The User has read, understood, and comprehend all of these Terms and Conditions and for all their consequences, and hereby accepts every right, obligation, and provisions governed therein.

                          3. If the User uses the Alphalitical’s Services continuously and continues after the changes, additions and/or modifications to all or part of the provision of the Terms and Conditions, it would be deemed as User's approval of such changes, additions and/or modifications.

                          4. If the User does not agree with the changes, additions and/or modifications of these Terms and Conditions, the User should cease accessing and/or using the Alphalitical’s Services.
